Terms of Service

The service

Herovant is a web application for freelancers and agencies to manage client work: clients, projects, tasks, proposals, deliveries, file uploads, invoice and payment tracking, a client portal, a public profile and the Find a Hero directory (together, the “Service”). Herovant is a record-keeping and collaboration tool. It is not an accounting, tax, legal or payment service, and it does not collect payments from your clients for you.

Who can use it

Herovant is for business use. You must be at least 18 and able to enter a binding agreement. If you sign up on behalf of a company, you confirm you have the authority to bind it. You are responsible for the members you add to your workspace and the clients you invite to your portal.

Your account and its security

• Give accurate information and keep it up to date.
• Keep your password and sign-in links private. You are responsible for what happens under your account.
• We strongly recommend switching on two-factor authentication, and you are responsible for keeping your second factor safe.
• Tell us at support@herovant.com right away if you suspect unauthorised access.

Plans, limits and fair use

Herovant offers a Free plan and paid plans (Studio, Agency and Pro Max). Each plan has limits, such as the number of seats, clients, active projects, storage, upload size and messages per month, and may include specific features. The current limits are shown on the pricing page and in your billing page. We may change plans for new subscriptions at any time; a change that reduces what you already pay for will not apply to you before the end of your current billing period.

Use the Service in line with its ordinary purpose. We may limit or stop usage that puts unreasonable load on the Service, for example automated bulk uploads or bulk emailing that goes beyond your plan.

Subscriptions and payment

• Paid plans are charged monthly in advance (USD or EUR, as shown at checkout) and renew automatically until you cancel.
• Payments, invoices and taxes are handled by Lemon Squeezy as Merchant of Record. Its terms apply to the payment itself, and we never see your full card data.
• You can cancel at any time. Cancellation takes effect at the end of the current paid period and you keep access until then. Payments are not refundable; see the Refund Policy.
• Upgrades take effect immediately and you are charged the prorated difference. Downgrades take effect immediately, and any unused time on the higher plan is applied by Lemon Squeezy as a credit toward future invoices, not paid out. There are no cash refunds.
• If we change the price of a plan, we will tell you in advance, at least 30 days before it affects you, and the new price applies from your next renewal. You can cancel before that.
• If a payment fails, we allow a grace period of 7 days. After that, the workspace becomes restricted: existing data stays readable, downloadable and deletable, but new capacity (clients, projects, seats, uploads) and certain sends stop until payment is resolved.
• We may offer promotions, such as free periods for early members, at our discretion and on the terms stated when offered.

Your content

You own the content you put into Herovant. You give us only the licence we need to run the Service: to host, store, back up, scan, process, transmit and display your content, and to create previews and copies, in each case only to provide the Service to you and the people you choose to share it with.

You are responsible for your content and for having the rights to it, including the right to upload information about your clients and their contacts. For personal data in your workspace, you are the controller and we process it on your instructions; see the Privacy Policy. A data processing agreement is available on request at privacy@herovant.com.

Content on your public profile, and portfolio items you choose to publish, are public by your choice and can be seen and copied by anyone. Do not publish anything you do not want to be public.

Acceptable use

You must not use the Service to:

• break the law, or upload or share illegal content;
• distribute malware or try to bypass the malware scan;
• infringe intellectual property, privacy or other rights of anyone;
• send spam or unsolicited bulk messages, or harass or defraud others;
• attack, probe or overload the Service, or try to access other people's data or workspaces;
• impersonate a person or organisation, or publish misleading profile or portfolio content;
• resell or provide the Service to third parties as your own service without our written permission.

We may remove content and act on reports of breach, including those made through the profile report forms.

Our rights

The Service, its software, design and brand belong to us or our licensors. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you send us feedback, we may use it without obligation to you.

Suspension and termination

You can stop using Herovant and cancel any time. We may suspend or end your access if you seriously or repeatedly breach these terms, if your use puts the Service or others at risk, if the law requires it, or for non-payment after the grace period. Where practical we will warn you first and give you a chance to fix the problem.

If a paid subscription ends, the workspace moves to the Free plan. Your data is kept, but it is subject to the Free plan's limits; anything above them stays readable and downloadable but you cannot add more until you are within the limits or upgrade. You can download your files while your account is accessible, and you can ask us at privacy@herovant.com to delete your account and data (see the Privacy Policy for how deletion and backups work).

Availability and changes to the service

We work to keep Herovant available and secure and to fix problems quickly, but we do not promise uninterrupted or error-free operation, and there is no service level agreement. We may perform maintenance, and we may add, change or remove features. If we remove a paid feature in a way that materially reduces what you pay for, we will tell you and you may cancel.

Disclaimer

The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose, and we do not guarantee that the Service will meet your requirements. Information in Herovant is not legal, tax, financial or accounting advice.

Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential loss, lost profits, lost revenue, lost data or loss of business opportunity. Our total liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.

Nothing in these terms limits or excludes liability that cannot be limited or excluded by law, including liability for intent or gross negligence, for death or personal injury, or any mandatory consumer rights you have.

You agree to indemnify us against third-party claims arising from your content or from your breach of these terms, to the extent the law allows.

Changes to these terms

We may update these terms. For material changes we will give you at least 30 days' notice by email or in the app before they apply to you. If you continue to use the Service after the change takes effect you accept the new terms; if you do not agree, you can cancel before then.

Governing law and disputes

These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul have jurisdiction over disputes, without prejudice to any mandatory consumer protection rules of your country of residence, or to any court you are entitled by mandatory law to bring a claim in.

General

• These terms, together with the Privacy Policy, Cookie Policy and Refund Policy, are the whole agreement between us about the Service.
• If a part of these terms is unenforceable, the rest stays in force.
• We may assign these terms as part of a business transfer; you may not assign them without our consent.
• We may notify you by email or in the app.
• The English version of these terms is the reference version and prevails in case of any discrepancy with a translation.
